4 Statutory purposes of Stiftung
Zweck der Stiftung ist die Förderung von Erziehung, Volks- und Berufsbildung sowie der internationalen Gesinnung und des Völkerverständigungsgedankens. Die Stiftung dient der sozialen Inklusion, der interkulturellen Verständigung, der internationalen Bildung und damit der persönlichen Entwicklung und dem Wohl des einzelnen Kindes bzw. Jugendlichen, ihrer Lehrerinnen und Lehrern bzw. Erzieherinnen und Erziehern in Bildungseinrichtungen in einem international ausgerichteten Umfeld. The purpose of the foundation is the promotion of education, of cultural and vocational training, and of an international mindset and the concept of international understanding. The Foundation serves the purposes of social inclusion, of intercultural understanding, of international education and thus of the personal development and well-being of the individual child or adolescent, their teachers or educators in educational institutions in an internationally oriented environment. 8 January 2018

8 Rights and responsibilities of the Board
Ensure that the Stiftung and its endowment are managed in accordance with the law and the Statutes Approve annual financial statements, budgets and long-term plans Select Head of School and Commercial Director, approve other senior appointments Advise school management, but do not interfere with the running of the school 8 January 2018

9 Board Code of Conduct Aim to achieve unanimity
Board members not to deal with the school, parents and staff individually No promotion of personal interests as a parent Compliance with requirements of accrediting organisations Promote the interests of the school vis-à-vis 3rd parties Derive no material gain Maintain confidentiality 8 January 2018

Before After Board selects Head of School and approves other major appointments No change Board has oversight over school finances Fees agreed by Board Head of School responsible for running the school School contracts and teacher contracts signed by Board … now signed by Head of School / Commercial Director Members of e.V. could have terminated school, sold off property, replaced Head of School Stiftung bound by law and Statutes, supervised by Stiftungsaufsicht. Purpose cannot be changed 8 January 2018
